Inte:Ligand GmbH, its partners and suppliers will grant a non-exclusive and non-transferable license to you ("licensee") for using the provided software including bundled software and documentation ("software") for a specific time period on a single central processing unit or on a single terminal. Except as expressly authorized in written form, licensee shall not copy, in whole or in part, software or documentation, modify the software, reverse compile or reverse assemble all or any portion of the software, or rent, lease, distribute, sell, or create derivative works of the software. Licensee receives the right to use the software for a specified limited time ("license period"). Licensee guarantees to stop every further use of the software after the expiration of the license period and to remove all software from any kind of data medium. If the license grant is for testing purposes only, Licensee additionally guarantees: (i) to use the Software only for non-commercial evaluation purposes internally in his organization, and (ii) to exclude any third party from the use of the Software (excluding also the provision of any results or data emanating from the software to any third party), Inte:Ligand grants no warranty for the software to the extent permitted by applicable law. The software is provided "as is" without any warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. The entire risk as to the quality and performance of the software is with the licensee. Should the software prove defective, licensee assumes the cost of all necessary servicing, repair or correction. In no event unless required by applicable law or agreed to in writing will any copyright holder, or any party who may modify and/or redistribute the software, be liable to the licensee for damages including any general, special, incidental or consequential damages arising out of the use or inability to use the program (including, but not limited to loss of data or data being rendered inaccurate or losses sustained by the licensee or third parties or a failure of the software to operate with any other software). All parties hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Vienna, Austria, Europe in all disputes arising out of or relating to the use of software and this license agreement.
